Introduction

Styleverve LLC, a Delaware Limited Liability Company, is the owner and operator of this web-based platform and other corresponding platforms (collectively, the “Platform”). The Platform is an interactive fashion platform allowing Customers to design and purchase customized clothing. Styleverve also serves as a fashion brand featuring original characters and a proprietary creative story world that forms the themes of its clothing collections.

These Terms of Use provide the terms upon which the Platform is made available to Customers (as defined below). These Terms of Use govern the purchase of Products by Customers on the Platform.

1. Definitions

When used in these Terms of Use, the capitalized terms listed below shall have the meanings provided, unless the context requires otherwise:

• “Content” — content published or shared on the Platform, which may include texts, designs, graphics and materials.
• “Customers” — Users of the Platform who place Orders for one (1) or more Products through the Platform.
• “Dispute” — any dispute, claim, controversy or disagreement between a User and Styleverve arising out of these Terms of Use or a breach thereof.
• “Orders” — orders placed by Customers for Products through the Platform.
• “Privacy Policy” — the latest version of the Platform’s Privacy Policy, as may be amended by Styleverve from time to time.
• “Products” — all clothing and other physical goods offered for purchase through the Platform, including customized clothing items and standard pre-designed apparel.
• “Styleverve” — Styleverve LLC.
• “Terms of Use” — the latest version of these Terms of Use, as may be amended by Styleverve from time to time.
• “Users” — all users of the Platform, including Customers. “User” refers to an individual user. All references to Users shall be deemed to include Customers.

2. Application of These Terms of Use

These Terms of Use set forth the terms upon which Users are granted access to the Platform. These Terms of Use shall be applicable and binding upon Users’ initial access and use of the Platform. Users shall be deemed to have read and agreed to these Terms of Use, in full and without condition, upon initial use of the Platform. By interacting with the Platform, Users agree to be governed by these Terms of Use.

If any User does not agree with these Terms of Use, their sole recourse is to cease using the Platform.

Styleverve may introduce additional features, tools, interactive elements, or community or social functionalities to the Platform from time to time. Unless expressly stated otherwise, all such features and services shall be deemed part of the Platform and shall be governed by these Terms of Use.

3. Binding Agreement

These Terms of Use constitute a binding and enforceable contract between Styleverve and Users. Styleverve shall not be bound by any terms or policies, except for the present Terms of Use and any policies of Styleverve, unless otherwise indicated herein. These Terms of Use shall be deemed to include any other policies implemented by Styleverve, including the Privacy Policy.

4. Updates to These Terms of Use

Styleverve may update these Terms of Use, as well as any related policies, at any time and at its sole discretion. The latest version of these Terms of Use shall be available on the Platform. The effective date as well as the date of their latest update shall be specified in these Terms of Use.

The updated Terms of Use shall be binding as of the date specified in the header. Any use of the Platform by Users following the publication of an update shall be deemed acceptance of the updated Terms of Use.

Styleverve recommends that Users periodically review these Terms of Use.

5. Eligibility to Use the Platform

Use of the Platform is subject to the following eligibility requirements. To access or use the Platform, Users represent and warrant to Styleverve as follows:

• They are at least eighteen (18) years old.
• They agree to use the Platform in accordance with applicable laws, regulations and orders.
• They have the capacity and ability to enter into legally binding contracts.
• They have not been prohibited from accessing or using the Platform under any applicable law or pursuant to an administrative decision or prior decision of Styleverve.
• They are not subject to any limitations or restrictions that would prevent, restrict or negatively impair their ability to use the Platform.
• They do not reside in and are not accessing the Platform from any country subject to applicable U.S. trade sanctions or embargoes.

6. Minor Users

The Platform is intended for Users who are at least eighteen (18) years old. Notwithstanding the foregoing, Users who are at least thirteen (13) years of age but less than eighteen (18) years old may use the Platform only through an account registered to a parent or legal guardian and with the consent of the parent or legal guardian. The parent or legal guardian shall assume responsibility for supervising and ensuring the minor User complies with all policies applicable to the use of the Platform.

7. Overview

Styleverve operates an interactive fashion platform that allows Users to design and purchase clothing through a digital customization experience. The Platform allows Users to select from various clothing templates, designs and characters and customize those using an integrated editor.

The editor provides Users with access to a variety of graphics, patterns, and design elements made available by Styleverve. All graphics and design elements included in the editor are either owned by Styleverve or subject to a valid license that permits use for print-on-demand production and product customization.

In addition, the Platform features a proprietary creative story world developed by Styleverve. This story world includes original characters, themes and creative assets owned by Styleverve that may be incorporated into certain clothing collections.

Once Users complete the design process and submit an Order, the Products are manufactured through a third-party print-on-demand provider and processed through Shopify. Styleverve is not the manufacturer of Products and relies on third-party fulfillment partners for production and shipping.

8. Accounts on the Platform

Users are not required to create an account to browse the Platform. To purchase Products, Users may create an account or check out as guests.

Provision of Personal Data

All personal data shared by Users shall be collected, managed and handled according to the Privacy Policy, and Styleverve’s use thereof shall comply with applicable data protection and privacy laws.

Account Security

Accounts on the Platform shall be secured by a password. Users shall ensure their passwords remain confidential. If a User has any reason to believe their account may be subject to a security breach, the User shall immediately report the issue to Styleverve. Styleverve shall not be responsible for any loss or damage arising from unauthorized access resulting from Users’ failure to maintain the confidentiality of their login credentials.

9. Termination and Suspension of Accounts

Users may terminate or suspend their accounts on the Platform at any time. Styleverve reserves the right to terminate or suspend an account if the account holder has breached these Terms of Use, violated applicable laws, engaged in unlawful conduct, infringed intellectual property rights, or engaged in conduct harmful to the Platform.

Unless otherwise provided, Styleverve shall retain the data from terminated accounts for a maximum of six (6) months for compliance purposes.

10. Styleverve’s Rights

Styleverve reserves the right, at its sole discretion, to refuse service, remove or disable access to any Content, cancel Orders, or restrict or terminate access to the Platform when images violate intellectual property laws, conduct violates these Terms of Use or applicable law, or conduct creates risk for Styleverve.

11. Products

The Products sold on the Platform may consist of pre-designed standard Products or customized Products created by Users using the Platform’s design tool.

12. Customers

Customer Warranties

• They are not a party to any contract that would prevent them from placing Orders.
• The payment information they provided is accurate, complete and owned by them.
• They have the required funds to satisfy the payment for the Products ordered.
• They acknowledge that the Platform does not offer any warranties except those set forth in these Terms of Use.

Customer Responsibility

Styleverve shall not be responsible for Customers’ inability to use the Products and/or the Platform due to failure of their own equipment, device or otherwise due to their fault or negligence.

Assumption of Risks

To the fullest extent permitted under applicable law, Customers agree to assume all risks associated with purchasing Products via the Platform.

13. Order Processing and Acceptance

Orders are subject to acceptance, Product availability, and the accuracy of pricing and Product information. Styleverve may cancel Orders in the event of errors or policy violations.

Orders shall be deemed accepted only once Styleverve confirms the Order and sends a written confirmation. Styleverve reserves the right, at its sole discretion, to refuse or cancel any Order for any reason permitted under applicable law.

14. Payments

Payment Information

Orders shall be paid in advance by Customers, prior to the delivery of the Products ordered. All Products must be paid in full at the time of purchase.

Shipping

Products shall be shipped using Styleverve’s designated shipping company selected through its fulfillment partners. Shipping is currently provided at no additional cost to Customers.

Transfer of Title and Risk of Loss

Title to the Products and risk of loss shall transfer to Customers upon delivery of the Products to the shipping carrier designated by Styleverve. Once transferred to the shipping carrier, Styleverve shall not be responsible for delays, loss, theft, or damage during transit.

Taxes

Customers shall be responsible for verifying the price and paying applicable taxes charged in connection with Product purchases made on the Platform.

Chargebacks

Customers agree to contact Styleverve to resolve billing issues prior to initiating a chargeback. Initiating a chargeback without first contacting Styleverve is strictly prohibited and may result in termination of access to the Platform.

Pricing Errors

Styleverve may cancel or refuse Orders placed for a Product listed at an incorrect price. If an Order is cancelled after payment has been processed, Styleverve shall promptly issue a refund.

Refund Policy

Product sales are final due to the nature of the Products sold. As Products are made-to-order, returns and exchanges are generally not permitted for change of mind, incorrect sizing, or color preference.

If Products arrive defective, damaged, or incorrect, Styleverve may, at its discretion, offer a replacement or refund. Claims must be submitted within thirty (30) days of delivery with the applicable Order number.

15. Geographic Restrictions

Styleverve strives to make its Platform available worldwide; however, shipping is currently limited to the United States. Shipping availability may be expanded in the future.

16. User Content and Images

Users may upload images within the design tool for the sole purpose of personal Product customization. Users may not upload images that promote or contain unlawful content, infringe third-party intellectual property, or violate these Terms of Use.

Styleverve reserves the right to remove violating images. Users grant Styleverve a limited, non-exclusive, royalty-free license to reproduce, modify, and print uploaded images solely for fulfilling the associated Order. Styleverve shall not be liable for user-generated images.

17. Intellectual Property and Trademarks

Styleverve’s story elements, characters, artwork, graphics, branding, trademarks and logos (collectively, the “Intellectual Property”) are protected by intellectual property laws and shall remain Styleverve’s sole property.

Users are strictly prohibited from:

• Transferring, selling, sublicensing, or otherwise licensing the Intellectual Property without prior written authorization.
• Making edits, modifications, or derivative works based on the Intellectual Property.
• Removing or altering any intellectual property notices.
• Scraping, extracting, or systematically collecting Intellectual Property from the Platform.
• Using the Intellectual Property to train AI systems, machine learning models, or automated datasets.
• Reproducing or distributing the Intellectual Property off the Platform.

Third-party trademarks and intellectual property published on the Platform remain the property of their respective owners.

18. Copyright Infringement

Styleverve complies with the Digital Millennium Copyright Act (“DMCA”). If Users believe their intellectual property is published on the Platform in violation of their rights, please submit a written notice to Styleverve including:

• A link to the content subject to the notice.
• A description of the intellectual property subject to the notice.
• Your name and contact information.
• If applicable, written confirmation of authorization to act on behalf of the intellectual property owner.
• A written confirmation of good faith and accuracy of statements.

19. Permitted and Prohibited Conduct

Users agree that their use of the Platform and Products must comply with all applicable laws. Prohibited activities include:

• Using the Platform to violate any applicable law or regulation.
• Using the Platform in a way that damages or overburdens it.
• Fraudulent, malicious or discriminatory use.
• Transmitting viruses or harmful components.
• Harassing, intimidating or bullying Users.
• Impersonating individuals, entities or businesses.
• Hacking, decompiling, or reverse engineering the Platform.
• Reselling or transferring Products without written permission.

No Resale

Products are intended for personal use. Commercial resale is prohibited without Styleverve’s prior written consent.

20. Platform Changes

Styleverve may update, modify, suspend, or discontinue features of the Platform at any time. Users acknowledge that information on the Platform may become outdated. Styleverve makes no warranties regarding accuracy, validity, or reliability of Content.

21. Third-Party Sites

Links to third-party websites on the Platform are for reference purposes only. Styleverve is not responsible for the accuracy, availability, or content of any third-party websites. Third-party providers, such as e-commerce, payment processing and fulfillment services, are subject to their own terms and policies.

22. Indemnification

To the fullest extent permitted by law, Users shall indemnify and hold harmless Styleverve and its employees, agents, officers, directors and consultants from and against all losses, damages, liabilities, costs and expenses arising out of Users’ use of the Platform, breach of these Terms of Use, breach of applicable laws, or false representations.

23. Limitations of Liability

Accessibility Challenges

Styleverve shall not be liable for service downtime, technical issues, delays, or unauthorized access to its servers.

Exclusion of Damages

To the fullest extent permitted by law, Styleverve shall not be liable for any indirect, special or consequential losses or damages arising from access and/or use of the Platform and Products, including loss of profits, opportunity, revenue, privacy, business or anticipated earnings.

Liability Cap

Styleverve’s total aggregate liability shall not exceed the amount paid by the claiming User in the six (6) months preceding the event giving rise to the claim. Any claim must be brought within one year of the date that events giving rise to the claim began.

Force Majeure

Styleverve shall not be responsible for damages caused by Force Majeure events including acts of God, epidemics, pandemics, acts of war, terrorist activities, natural disasters or other circumstances beyond Styleverve’s reasonable control.

24. Warranty Disclaimer

The Platform is provided on an “as is” and “as available” basis, without any warranties of any kind, whether express, implied, or statutory. Styleverve expressly disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

The availability of specific Products, designs and characters is not guaranteed and may vary. Users acknowledge that they have not relied on any representations except those expressly set forth in these Terms of Use.

25. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware (excluding any conflict of laws principle which refers to the laws of another jurisdiction).

26. Dispute Resolution

Disputes shall be resolved exclusively by mandatory arbitration, except for those subject to court jurisdiction and unless Users opted out within thirty (30) days of accepting these Terms of Use.

Jurisdiction of the Courts

Disputes seeking an injunction, equitable relief, or enforcement of rights shall be brought before courts in the State of Delaware.

Good Faith Negotiations

Prior to arbitration, Users agree to attempt to resolve Disputes amicably.

Arbitration Proceedings

Arbitration shall be administered in accordance with the American Arbitration Association (AAA) standards with one arbitrator. The arbitration shall take place in the State of Delaware, or remotely upon mutual consent. Proceedings shall be conducted in English. The arbitration award shall be final.

Individual Proceedings

All arbitration shall be on an individual basis, not class arbitration. Users waive their right to a jury trial.

27. Status of the Parties

Nothing in these Terms of Use shall be deemed to create any partnership, joint venture, employment, or agency relationship between Styleverve and any User.

28. Electronic Communications

By accessing the Platform, Users agree that Styleverve may send communications electronically, including by email. Users agree that such communications satisfy any legal requirement that communications be in writing.

29. Assignment and Waivers

Styleverve may assign all or part of its rights and obligations to any third-party. Users may not assign their rights and obligations except with Styleverve’s prior written approval.

Any notice, consent or other communication required by these Terms of Use shall be provided in writing to:

If any provision of these Terms of Use is held to be invalid, unlawful, or unenforceable, the provision shall be severed. The remaining provisions shall remain effective and binding.

32. Entire Agreement

These Terms of Use, together with any policies named herein, shall constitute the full agreement between Users and Styleverve and supersede all previous negotiations and agreements regarding the subject matter hereof.
